The aim of the course is to acquire an understanding of the relevance of Corporate Governance in Germany. After successful participation in the course, you should be able to outline the relevant regulations, assess them from an economic perspective, and apply your knowledge to short case studies in Corporate Governance.
Corporate Governance mechanisms are employed to ensure that a company's management acts in the best interest of its owners. The first step is to clarify the standards of proper and lawful management and how these standards can be enforced through the mechanisms and norms of Corporate Governance. Subsequently, the course will explore the different mechanism of Corporate Governance in detail. In the second part, the focus will be on the monitoring duties of the board of directors, and in the third part, on the role of shareholders.
